TERMS OF SERVICE

UCONNECTIT, LLC.
Your use of UCONNECTIT, LLC’s (“UC”) software, services and web site(s)
(referred to collectively, herein as the “Services” is subject to the terms of
a legal agreement between you and UC as set forth hereunder:
1. Accepting
the Terms
1.1 In order to use the Services,
you must first agree to the Terms. You may not use the Services if you do not
accept the Terms. You can accept the Terms by actually using the Services. In
this case, you understand and agree that UC will treat your use of the Services
as acceptance of the Terms from that point onwards. UC may revise these Terms and Conditions at any time by
updating this posting. You should visit this web page periodically to review
the Terms and Conditions, because they are binding on you. You may not use the Services and may not accept
the Terms if (a) you are not of legal age to form a binding contract with UC,
or (b) you are a person barred from receiving the Services under the laws of
the United States or other countries including the country in which you are
resident or from which you use the Services
2. Registration
and Security
2.1 You agree at all times to
provide UC with accurate, complete, and updated information pertaining to your
registration. Failure to do so shall constitute a breach of these Terms of
Service, which may result in immediate termination of your account. You may not
enter, select or use a false name or an email address owned or controlled by
another person. UC reserves the
right to refuse registration, or cancel a registration in its discretion.
3. Content
in the Services
3.1 You understand that all
information (such as data files, written text, computer software, music, audio
files or other sounds, photographs, videos or other images) which you may have
access to as part of, or through your use of, the Services are the sole
responsibility of the person from which such content originated.
3.2 UC assumes no responsibility for
any misleading, inaccurate or false information displayed for any web content
or link. The inclusion of a link
or other web content does not imply any endorsement or affiliation with UC.
3.3 All content
posted on this site by a registered user or a third party is the responsibility
of that user or that third party and not of UC. UC is merely the carrier/distributor of this content and
assumes no responsibility for objectionable content nor makes any claim as to
the quality, accuracy or usefulness of the content or services made available
within this site.
4. Intellectual
Property Rights
4.1 The user
agrees not to transmit or make commercially available any material that
infringes on any patent, trademark, copyright, or intellectual property.
4.2 Unless you have agreed otherwise
in writing with UC, nothing in the Terms gives you a right to use any of UC’s
trade names, trade marks, service marks, logos, domain names, and other
distinctive brand features.
4.3 You agree that you shall not
remove, obscure, or alter any proprietary rights notices (including copyright
and trade mark notices) which may be affixed to or contained within the
Services.
4.4 Unless you have been expressly
authorized to do so in writing by UC, you agree that in using the Services, you
will not use any trade mark, service mark, trade name, logo of any company or
organization in a way that is likely or intended to cause confusion about the
owner or authorized user of such marks, names or logos.
5. UC Services
5.1 UC
is an online offering where individuals or entities can create and save
encrypted entries containing confidential information. You are solely responsible for
maintaining said entries.
Encrypted entries will be sent and stored on UC servers. Decrypted entries are never sent or
stored on UC servers. UC staff is
unable to read or decrypt user entries. UC will only log you into your websites. You are solely responsible for logging
out of the website(s) UC opens for you.
5.2 UC
requires that you create an account which is protected by a User ID and
Password, chosen by yourself at the time of registration. Your User ID and Password will grant
you access to your UC account.
5.3 You
are solely responsible for maintaining your User ID, Password, entries and any
other access data secret and safe.
Should you suspect that your access data, including your User ID and
Password and entries has been stolen or intercepted, it is your responsibility
to take immediate action to protect your entries, including contacting UC at David@Uconnectit.com
5.4 UC
does not maintain a copy of your access data, including your User ID, Password
and entries and can not recover them if lost.
5.5 An
account will be deemed inactive when these has been no successful login to the
account for a six month consecutive period. Inactive accounts will be canceled without notice. When an account is canceled, any stored
entries may be lost and are non-recoverable.
5.6 It
is forbidden to store critical data such as, but not limited to, financial data
or access data to financial institutions, or any data which, if lost, stolen or
destroyed, could result in personal or public catastrophe.
6. Changes in Terms of Service
6.1 UC reserves the right to change
these Terms at any time without prior notice. Any changes to the Terms
of Service will be made applicable 24 hours after any changes are made. Please
check back often for changes in policy and content.
7. Warranties
7.1 These
Services are provided on an ‘as-is’ and ‘as available’ basis; UC accepts no
liability for the loss of any user information or for the failure of any
feature or service to operate properly.
7.2 The user
takes responsibility for obtaining and utilizing any necessary computer equipment and internet services used in
accessing this site. Cost of operation of these devices and services is
entirely the responsibility of the user.
7.3 The sole and exclusive
maximum liability to UC for any damages or losses shall be the
amount
paid to UC by the user, if any, for access to this site.
8. Disclaimer
8.1 You
expressly understand and agree that your use of the services is at your sole
risk and that the Services on UC are provided 'as is' and ‘as available’.
8.2 You
understand and agree that you use the Site and Services at your own discretion
and risk and that you will be solely responsible for any damages that arise
from such use.
8.3 UC expressly disclaims any
liability for the accuracy, usefulness of availability of information
transmitted or made available via the Services. UC expressly disclaims the
accuracy or reliability of any information obtained by you as a result of your
use of the services.
8.4 UC expressly disclaims that
defects in the operation or functionality of any software provided to you as
part of the services will be corrected.
8.5 Any material downloaded or
otherwise obtained through the use of the services is done at your own
discretion and risk and you will be solely responsible for any damage to your
computer system or other device or loss of data that results from the download
of any such material.
8.6 UC expressly disclaims all
warranties and conditions of any kind whether express or implied, including,
but not limited to the implied warranties and conditions of merchantability,
fitness for a particular purpose and non-infringement
8.7 UC and its
employees, affiliates, and advertisers, disclaim all express,
implied or statutory warranties of title, non-infringement, merchantability and
fitness for a particular purpose with regards to any information or service
provided.
8.8 You agree
that UC shall not be responsible or liable for any loss or damage of any sort
incurred as the result of any such dealings or as the result of the presence of
such advertisers on this website.
9. Privacy
Policy
9.1 UC may access, preserve, and
disclose your account information and encrypted contents if required to do so
by law or in good faith belief that such access preservation or disclosure is
reasonably necessary to: (a) comply with legal process; (b) enforce the Terms
of Use; (c) respond to claims that any content violates the rights of
third-parties; (d) respond to your requests for customer service; or (e)
protect the rights, property, or personal safety of UC, its users and the
public.
9.2 UC collects submitted account
information such as name and e-mail address to identify you and send you
notification related to the use of the Services.
9.3 UC makes use of IP addresses and
cookies to facilitate services deemed necessary.
9.4 UC reserves the right to conduct
studies using user data to improve our service. Such data includes but is not limited to demographic
information and usage statistics.
If this data is ever disclosed to a partner, it will never be associated
with an individual user(s).
9.5 UC will never spam you, although
we reserve the right to email you occasionally with information we think you
may find useful including carefully selected offers from our third party
partners.
9.6 UC reserves the right to use a
third-party tool that captures detailed information about how users interact
with the site and what pages they visit.
9.7 UC reserves the right to display
relevant third party advertisements on our website.
9.8 UC reserves the right to change
this privacy policy at any time and without notice.
10. Arbitration
10.1 Any controversy or claim arising out of or relating to this
contract, or the breach thereof, shall be settled by arbitration in Palm Beach
County, Florida, administered by the American Arbitration Association in
accordance with its Commercial Arbitration Rules and judgment on the award
rendered by the arbitrator(s) may be entered in any court having jurisdiction
thereof.
11. Mediation Preceding Arbitration
11.1 If
a dispute arises out of or relates to this contract, or the breach thereof, and
if the dispute cannot be settled through negotiation, the parties agree first
to try in good faith to settle the dispute by mediation administered by the
American Arbitration Association under its Commercial Mediation Procedures
before resorting to arbitration, litigation, or some other dispute resolution
procedure. If they do not reach such solution within a period of 60 days, then,
upon notice by either party to the other, all disputes, claims, questions, or
differences shall be finally settled by arbitration administered by the
American Arbitration Association in accordance with the provisions of its
Commercial Arbitration Rules.
